Terms of Service

1. Introduction

Welcome to Infralitix. These Terms of Service ("Terms") govern your use of our website at infralitix.co.za and all services provided by Infralitix ("we," "our," or "us").

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Infralitix regarding your use of our services.

2. Services

Infralitix provides digital infrastructure services including but not limited to:

• Web Development (websites, web applications, e-commerce)
• Mobile App Development (Flutter applications)
• AI Automation solutions
• RAG (Retrieval-Augmented Generation) Systems
• Data Pipeline development
• Social Media Marketing

Specific deliverables, timelines, and costs will be outlined in individual project proposals or service agreements.

3. Engagement Process

3.1 Quotations and Proposals

All quotations and proposals are valid for 30 days unless otherwise specified. Prices are in South African Rand (ZAR) unless stated otherwise.

3.2 Project Commencement

Work will commence upon:

• Written acceptance of proposal (email confirmation is acceptable)
• Receipt of the agreed deposit payment
• Provision of necessary project materials and access

4. Payment Terms

4.1 Deposits

A non-refundable deposit of 50% is required before project commencement, unless otherwise agreed in writing.

4.2 Payment Schedule

• Small projects (under R10,000): 50% deposit, 50% on completion
• Medium projects (R10,000 - R50,000): 50% deposit, 25% at midpoint, 25% on completion
• Large projects (over R50,000): Custom payment schedule as agreed
• Monthly services: Invoiced monthly in advance

4.3 Late Payments

Invoices are due within 7 days of issue. Late payments may incur:

• Interest at 2% per month on outstanding amounts
• Suspension of services until payment is received
• Withholding of deliverables until account is settled

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide accurate and complete project requirements
• Supply necessary content, images, and materials in a timely manner
• Provide feedback and approvals within agreed timeframes
• Ensure you have rights to all content you provide
• Maintain backup copies of your own data
• Designate a single point of contact for project communications

6. Project Timeline and Delays

6.1 Estimated Timelines

Project timelines are estimates based on the agreed scope. Actual delivery may vary based on project complexity and client responsiveness.

6.2 Client-Caused Delays

Delays caused by late provision of materials, feedback, or approvals may result in:

• Extended project timelines
• Re-scheduling of project milestones
• Additional charges if resources need to be reallocated

7. Revisions and Changes

7.1 Included Revisions

Unless otherwise specified, projects include:

• 2 rounds of revisions for design work
• Bug fixes and minor adjustments during development
• 30 days of post-launch support for critical issues

7.2 Scope Changes

Changes to the original scope of work ("scope creep") will be quoted separately and require written approval before implementation.

8. Intellectual Property

8.1 Ownership

Upon full payment:

• You own the final deliverables created specifically for your project
• We retain ownership of pre-existing tools, frameworks, and code libraries
• We may use anonymized project details for portfolio and marketing purposes

8.2 Third-Party Assets

Third-party assets (stock images, fonts, plugins) may be subject to their own licenses. We will inform you of any licensing requirements.

8.3 Confidentiality

We will keep your business information confidential and not disclose it to third parties without your consent, except as required by law.

9. Warranties and Guarantees

9.1 Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services offered

9.2 Bug Fix Period

We provide a 30-day warranty period after project completion to fix any bugs or defects in our work at no additional cost.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the amount paid for the specific service in question
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• We are not responsible for third-party services, hosting, or domain issues outside our control

11. Termination

11.1 Termination by Client

You may terminate a project at any time by written notice. Upon termination:

• Payment is due for all work completed to date
• Deposits are non-refundable
• You will receive all completed work upon payment

11.2 Termination by Infralitix

We may terminate or suspend services if:

• Payment is not received within 14 days of due date
• You breach these Terms
• You request work that is illegal or unethical
• Continued engagement would harm our reputation

12. Hosting and Maintenance

12.1 Third-Party Hosting

We may deploy your project to third-party hosting services. These services are subject to their own terms and conditions.

12.2 Ongoing Maintenance

Post-launch maintenance, updates, and support are not included unless specified in your service agreement. Maintenance packages are available separately.

13. Acceptable Use

You agree not to use our services to create or distribute:

• Illegal content or services
• Malware, viruses, or harmful code
• Content that infringes intellectual property rights
• Hate speech, harassment, or discriminatory content
• Spam or deceptive marketing materials
• Content involving minors inappropriately

14. Dispute Resolution

14.1 Good Faith Negotiation

In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.

14.2 Mediation

If negotiation fails, disputes may be submitted to mediation before legal action is taken.

14.3 Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings shall be conducted in the courts of South Africa.

15. Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, war, government actions, or internet/infrastructure failures.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any project proposals and service agreements, constitute the entire agreement between you and Infralitix regarding the services provided.
